FREELANCE AGREEMENT

1. Parties and Effective Date

This Freelance Agreement (the "Agreement") is entered into and made effective as of August 3, 2026 (the "Effective Date"), by and between:
Party A: Acme Corp

and
Party B: Jane Doe
Address: 456 Oak Ave, Dallas, TX 75201
Each of Party A and Party B may be referred to individually as a "Party" and collectively as the "Parties."
2. Scope of Services
----------------------------------------------------------------------
Party B shall perform the services described below (the "Services") in a professional and workmanlike manner, using personnel with appropriate skill and experience.
Scope of Services:
Design and develop a marketing landing page with up to 5 sections, responsive layout, and basic SEO setup.
Any change to the scope of Services must be agreed upon in writing by both Parties as a Change Order, which shall reference this Agreement and describe the changed scope, schedule, and any adjustment to compensation.
3. Compensation and Payment

In consideration for the Services performed under this Agreement, Party A shall pay Party B the total amount of $5,000.00 USD.
Payment Terms: Net 30 — payment due 30 days after invoice.
Party B shall submit invoices to Party A for services rendered. Each invoice shall describe the services performed, the period covered, and the amount due. Party A shall pay all undisputed invoices in accordance with the payment terms above.
Party B is responsible for all taxes, withholdings, and similar obligations associated with the compensation paid hereunder.
4. Term
----------------------------------------------------------------------
The term of this Agreement shall commence on the Effective Date (August 3, 2026) and shall continue for a period of 6 Months, ending on February 3, 2027, unless earlier terminated in accordance with the Termination section.
5. Independent Contractor Status
----------------------------------------------------------------------
Party B is an independent contractor and not an employee, agent, partner, or joint venturer of Party A. Nothing in this Agreement shall be construed to create an employment, agency, partnership, or joint venture relationship between the Parties.
Party B shall be solely responsible for: (a) paying all federal, state, and local income and self-employment taxes; (b) obtaining any required business licenses or permits; (c) providing its own tools, equipment, and workspace (except as otherwise agreed in writing); and (d) determining the means and methods by which the Services are performed.
Party B shall not be entitled to any benefits provided by Party A to its employees, including health insurance, retirement benefits, or paid time off.
6. Intellectual Property
----------------------------------------------------------------------
All work product, deliverables, and inventions created by Party B specifically for Party A under this Agreement (the "Work Product") shall be deemed "work made for hire" owned by Party A, to the fullest extent permitted by law.
To the extent any Work Product does not qualify as a work made for hire, Party B hereby assigns to Party A all right, title, and interest, including all intellectual property rights, in and to the Work Product, upon creation.
Party B retains all rights to any pre-existing materials, methodologies, or know-how used in performing the Services ("Background IP"). Party A is granted a non-exclusive, royalty-free, perpetual, worldwide license to use any Background IP incorporated into the Work Product.
Party B warrants that the Work Product does not infringe the intellectual property rights of any third party.
7. Warranties and Indemnification

Party B warrants that: (a) the Services will be performed in a professional and workmanlike manner consistent with industry standards; (b) it has the necessary skill, experience, and authority to perform the Services; (c) the Work Product will not infringe the rights of any third party; and (d) it will comply with all applicable laws and regulations.
EXCEPT AS EXPRESSLY SET FORTH IN THIS AGREEMENT, PARTY B DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.
Each Party (the "Indemnifying Party") shall indemnify, defend, and hold harmless the other Party and its officers, directors, employees, and agents from and against any third-party claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) the Indemnifying Party's breach of this Agreement; (b) the Indemnifying Party's negligence or willful misconduct; or (c) any allegation that the Indemnifying Party's materials infringe the rights of a third party.
8. Termination
----------------------------------------------------------------------
Either Party may terminate this Agreement for convenience upon thirty (30) days' prior written notice to the other Party.
Either Party may terminate this Agreement immediately upon written notice if the other Party: (a) materially breaches this Agreement and fails to cure such breach within ten (10) days after receipt of written notice; (b) becomes insolvent, files for bankruptcy, or makes an assignment for the benefit of creditors; or (c) ceases to do business.
Upon termination, each Party shall return or destroy all Confidential Information of the other Party in its possession, and any accrued but unpaid obligations shall become immediately due and payable.
9. Governing Law and Jurisdiction
----------------------------------------------------------------------
This Agreement shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions.
The Parties consent to the exclusive jurisdiction and venue of the state and federal courts located in Texas for any dispute arising out of or relating to this Agreement.
10. Miscellaneous
----------------------------------------------------------------------
Entire Agreement. This Agreement, including any exhibits or attachments, constitutes the entire agreement between the Parties regarding its subject matter and supersedes all prior or contemporaneous understandings.
Amendment. No amendment or modification of this Agreement shall be valid unless in writing and signed by both Parties.
Assignment. Neither Party may assign this Agreement without the prior written consent of the other Party, except in connection with a merger, acquisition, or sale of all or substantially all of its assets.
Notices. All notices under this Agreement shall be in writing and sent to the addresses set forth above, or as otherwise designated in writing.
Severability. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.
Counterparts. This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one instrument.
